GENERAL PROJECT AGREEMENT

Project Agreements “this Agreement” between KHAI DESIGNSZ and BUYER are made effective as of the date of deposit "Effective Date”.

- Scope of Work

 

KHAI DESIGNSZ agrees to perform the following services for the Client:

​

  • Project Description: Brief description of the project, e.g., logo design, brochure, website graphics, etc.

  • Deliverables: Specific deliverable, e.g., logo files in .AI and .PNG formats, print-ready brochure, etc.]

  • Revisions: Each project has a specific number of revisions of which you will be informed

- Timeline

​

  • Project Start Date: Estimated up to 24 hours after deposit is received

  • Completion Date: Estimated Completion Date will be set based on estimated start date

  • Milestones: Key milestones and corresponding deadlines will be communicated to you 

​

- Payment Terms

​

  • Total Project Fee: Will be communicated to you once you have confirmed your finalized request/purchase

  • Payment Schedule: 50% deposit upon signing this agreement, remaining 50% upon or before final delivery.

  • Additional Costs: The buyer must agree to cover any additional costs related to the project, such as stock images, graphics, fonts, or other third-party resources, which will be approved by the buyer before purchase.

- Copyrights and Ownership

​

  • Copyright Transfer: Upon full payment, KHAI DESIGNSZ transfers all copyright ownership of the final deliverables to the buyer, excluding any pre-existing intellectual property or third-party resources.

  • Designer’s Portfolio: KHAI DESIGNSZ reserves the right to use the completed project and any preliminary drafts for portfolio, website, and promotional purposes.​​

- Confidentiality

 

  • Both parties agree to keep all information related to the project confidential, including any proprietary information shared during the design process.

​

​

- Limitation of Liability

 

  • The Designer’s liability for any claim related to this agreement is limited to the amount of fees paid by the Client.

​

- Governing Law

 

  • This agreement shall be governed by and construed in accordance with the laws of Jamaica, the USA, UK, Europe, Asia, South America, Africa without regard to its conflict of law provisions.

​

​

- Entire Agreement

 

  • This agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether written or oral.

​

KHAI DESIGNSZ will design and complete the requested project for the buyer in a professional and timely manner. All projects, drafts and documentation shall comply with standards currently enforced by the buyer. The parties may at any time modify the scope of the Services by including desired changes in a written “change order” that explains the changes and the adjustment to the payment for the Services that will result from such changes. Such change order shall become effective when signed and dated by both parties.
